HBL Transfers Nearly Four Million Shares to Employees

Habib Bank Limited has formally notified the Pakistan Stock Exchange of the transfer of an aggregate 3,965,914 ordinary shares to eligible employees pursuant to its deferred variable compensation mechanism, implemented in accordance with the Bank’s Risk Aligned Remuneration Policy, through a disclosure dated February 9, 2026.

The shares were credited into the Central Depository Company accounts of employees classified as Material Risk Takers, Material Risk Controllers, and designated General Managers. The vesting was structured through an employee trust arrangement, with the shares acquired from the open market via a registered brokerage house acting on behalf of the trust.

Under the first tranche relating to deferred compensation for the year 2024, a total of 683,927 shares were credited to the CDC accounts of 130 qualifying employees. The second tranche, corresponding to deferred compensation for 2023, resulted in the transfer of 1,022,713 shares to 120 employees.

The third tranche, linked to deferred compensation for 2022, comprised 1,249,617 shares credited to 114 employees. All shares under this tranche were transferred on February 2, 2026, at a price of Rs 341.60 per share. The transactions were carried out through M/S Akhtar and Hassan (Private) Limited, acting as one of the trustees, via an approved brokerage house.

HBL confirmed that the transactions were executed in full compliance with applicable regulatory requirements, including the Pakistan Stock Exchange regulations and the Securities Act, 2015, by both the Bank and the concerned employees.
